Agreement
These Terms of Use govern your use of the Accordia website, apps, integrations, and related services offered under the Accordia brand.
By using Accordia's website, apps, or services, including apps that integrate with third-party platforms such as Wix or QuickBooks, you agree to these Terms of Use. If you do not agree, do not use our services. Our services are offered in the United States only.
Service and license
Accordia ("we," "our," or "us") provides managed automation infrastructure and related software, integration, and support services. When you use an Accordia app with a third-party platform or service, including Wix or QuickBooks, you must also comply with that platform's terms, policies, and technical requirements. We are not responsible for third-party platforms, their availability, or their acts or omissions.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business use or other permitted use of the applicable service. We reserve all rights not expressly granted.
If you enter into a separate written agreement with Accordia or its operating entity for paid, managed, or enterprise services, that agreement will control to the extent of any conflict with these Terms.
Acceptable use and restrictions
You may not use our services for any illegal, harmful, or abusive purpose. You may not attempt to gain unauthorized access to our systems or data, interfere with the operation of our services, or use our services in a way that violates any applicable law or third-party rights. We may suspend or terminate access if we believe you have violated these Terms.
You will not, and will not assist or enable any third party to:
- reverse engineer, decompile, or disassemble any part of our services, except to the extent permitted by applicable law;
- use automated means (for example, bots or scrapers) to access our services in a manner that exceeds reasonable use or burdens our systems;
- use our services to develop or offer a competing product or service, or for benchmarking or competitive analysis;
- bypass or attempt to bypass any access controls or usage limits we implement;
- impersonate another person or entity or misrepresent your affiliation;
- harvest or collect personal information of other users from our services; or
- state or imply any endorsement, affiliation, or sponsorship by Accordia without our prior written consent.
Third-party services
Our services may link to or integrate with third-party sites, APIs, marketplaces, or services. Your use of those third parties is subject to their own terms, privacy policies, and platform rules. We do not control and are not responsible for third-party services, except for our own obligations in providing the specific Accordia integration or service.
Intellectual property
Our services, including our name, branding, and content we provide, are owned by Accordia or our licensors. We grant you a limited, non-exclusive right to use our services as intended. You do not acquire any ownership or license beyond that.
Disclaimers
Our services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee that the services will always be uninterrupted, error-free, or available at all times. Nothing in these Terms limits any non-waivable rights you may have under applicable law.
Limitation of liability
To the fullest extent permitted by law, Accordia and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business opportunity, use, or data, arising out of or related to your use of the services.
To the fullest extent permitted by law, Accordia's total liability for any claim arising out of or relating to these Terms or the services will not exceed the greater of (a) the amount you paid Accordia for the applicable service during the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
Indemnification
You agree to indemnify and hold harmless Accordia and its affiliates, officers, employees, and agents from third-party claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your misuse of the services, your violation of these Terms, or your violation of applicable law or third-party rights.
Termination
We may suspend or terminate access to the services if reasonably necessary to protect the security, integrity, or lawful operation of the services, to comply with law, or if you materially violate these Terms. You may stop using the services at any time. Provisions that by their nature should survive termination will survive.
Changes
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last updated" date. Your continued use of the services after the updated Terms take effect constitutes acceptance of the revised Terms.
Export and compliance
You will comply with all applicable export control and trade sanctions laws and regulations. You may not use or access our services if you are located in, or subject to the laws of, a jurisdiction that would make such use or access unlawful.
Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

General
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a corporate reorganization, merger, acquisition, sale of assets, or by operation of law. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. These Terms, together with our Privacy Policy and any other policies we reference, govern your use of the services unless a separate written agreement applies.
